Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of John CEO (the "Service"), operated by JHELY GLOBAL SL ("JHELY", "John CEO", "we", "us", or "our"), a company incorporated in Spain with registered office at Paseo de la Sierra 29, 29018 Málaga, Spain, tax identification number (CIF) B67973388.

These Terms, together with our Privacy Policy and any documents incorporated by reference, form a binding agreement between you and us. By creating an account, provisioning an agent, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Service.

You represent that you are at least 18 years old and have authority to enter into these Terms and, where you act for an entity, to bind that entity, in which case "you" means that entity.

2. Business Use Only

The Service is offered solely for professional and business use. By using it you represent that you are acting in the course of your trade, business, profession, or craft, including as a sole trader or solopreneur. The Service is not directed to consumers, and we do not knowingly contract with consumers. Consumer-protection rules that apply only to consumers are not intended to apply to your use of the Service.

3. Description of the Service

John CEO provisions a private, dedicated AI agent that runs on isolated cloud infrastructure and acts on your behalf across the tools you connect. Key aspects:

  • Dedicated, isolated agent. Each active agent runs on its own cloud computer with its own persistent volume. Your conversations, files, and connections are private to your agent and are not shared with other customers.
  • Messaging integration. The agent operates over Slack and Telegram. You provide or pair the bot or app you control and decide who may access it. You are responsible for interactions in any group, channel, or workspace where you add the agent. Other channels may be added over time.
  • AI-powered assistance. The Service uses artificial intelligence. Through our model-routing provider, you select the large language model or models used to process your requests. The models available may change over time. By selecting a model, you choose which AI provider processes your content, you accept that provider's applicable terms and policies, and you accept the consequences of that choice.
  • Third-party integrations. With your explicit authorization, your agent can connect to business tools to perform tasks you request. Each integration requires your authorization and is governed by that provider's own terms.
  • Levels of autonomy. The agent may perform low-risk actions directly, while higher-risk actions may require your explicit approval before execution, depending on your configuration.
  • No autonomous movement of funds. The Service does not initiate payments, transfers, or other movement of money or assets on your behalf in the current version. Any such feature introduced later will be subject to separate controls and terms.

The Service is provided on a self-directed basis. You decide what to ask the agent to do, which tools to connect, which model to use, and which actions to approve. We do not direct or supervise your use of the Service.

Beta and preview features. Features identified as beta, preview, experimental, or early access are provided for evaluation purposes. They may be modified, limited, or withdrawn at any time without notice, may be less reliable than generally available features, and are provided without any warranty, commitment, or liability on our part, to the maximum extent permitted by law.

4. Eligibility, Account, and Security

  • Authorization. You represent that you are authorized to connect the messaging accounts and business tools you link, and to grant the permissions the agent requests. Where you install the agent in a Slack workspace, you represent that you are authorized to install applications in that workspace and to grant the requested scopes.
  • Account security. You are solely responsible for safeguarding your account, your messaging accounts, your access controls, and any credentials you use to connect tools. You are responsible for all activity that occurs under your account or through your agent.
  • Sanctions and export. You represent and warrant that you are not, and are not acting for any person who is, subject to sanctions administered by the United Nations, the EU, OFAC, or the UK, or located or organized in a comprehensively sanctioned territory (including, without limitation, Iran, Syria, Cuba, North Korea, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you will not use the Service in violation of applicable export-control, sanctions, or trade law.
  • Notification. Notify us promptly at [email protected] of any unauthorized use of your account.

5. Permissions, Data Access, and Data-Protection Roles

By connecting your messaging accounts and business tools, you authorize JHELY to access and process data on your behalf to provide the Service:

  • The agent reads and responds to messages you send it and, where you authorize, messages in groups, channels, or workspaces where you add it.
  • When you connect a tool, you authorize the agent to access the data permitted by the scopes you grant, to perform the tasks you request and the actions you approve.
  • Access is private to your own agent and does not reach other users' accounts.

Your responsibility for connected data. You represent and warrant that you have all rights, consents, and authority necessary to connect each tool and to authorize the agent to access and process the data within it, including any personal data of third parties (for example your contacts, clients, or leads). You are solely responsible for the lawfulness of that access and processing.

Prohibited data. The Service is not designed for, and you agree not to submit to it, or direct the agent to collect or process, the following, except where such data is encountered incidentally within content you process at your own risk: special categories of personal data under Article 9 GDPR (including health, biometric, and genetic data); payment card data subject to PCI DSS; credentials belonging to any person other than you; personal data of minors; and data subject to sector-specific confidentiality regimes (for example clinical records, banking secrecy, or classified information). Any submission of such data in breach of this Section is outside the intended use of the Service, is at your sole risk, and is subject to your indemnification obligations in Section 16.

Outbound communications and tracking. Where you direct the agent to send messages to third parties, or to track opens, clicks, or other engagement with those messages, you are responsible for having any lawful basis and any consent required in the recipient's jurisdiction, including consent for tracking pixels or link tracking where local law requires it, and for honoring opt-outs and applicable electronic-marketing rules.

Data-protection roles. For your account data (registration, billing, settings), JHELY is the controller. For the personal data your agent accesses within the tools you connect, including any third-party personal data, you are the controller and JHELY acts as a processor, processing that data only on your documented instructions to provide the Service, as described in our Privacy Policy. Where you require a separate data processing agreement under Article 28 GDPR, we will make one available on request. Any such data processing agreement forms part of these Terms, and the limitations and exclusions of liability in Section 15 apply in aggregate to claims under these Terms and the data processing agreement together.

6. Approval Mechanisms and Autonomous Actions

  • Low-risk actions. The agent may perform read-only operations, research, drafting, and in-chat communication without per-action approval, and may execute actions you have configured as pre-authorized.
  • Higher-risk actions. Actions that modify external systems or carry significant impact may require your explicit approval before execution.
  • Pre-authorization. If you enable auto-approval, recurring workflows, or similar settings, you authorize the agent to execute covered actions without per-action approval.
  • Execution and responsibility. Once you approve an action, or once an action is permitted by your settings, the agent will attempt to execute it. You are solely responsible for the consequences of approved or pre-authorized actions.
  • Revocation. You are responsible for promptly updating or revoking approvals, connections, and workflow settings when your needs change.

7. Acceptable Use Policy

You agree not to use the Service to:

  • engage in unlawful, fraudulent, or deceptive activity, or violate any applicable law;
  • infringe or misappropriate the intellectual property, privacy, publicity, or other rights of any person;
  • violate applicable export-control, sanctions, or trade law, or use the Service for or on behalf of any restricted person;
  • violate the terms of Slack, Telegram, or any connected platform;
  • attempt unauthorized access to, or interfere with, disrupt, or degrade, any system, account, or data;
  • create, generate, request, store, or distribute child sexual abuse material, or any content that sexualizes, exploits, or endangers a minor, or that facilitates the grooming, abuse, or exploitation of a minor. We treat any such activity with zero tolerance, will suspend access immediately, will preserve and report such material to the extent required or permitted by applicable law, and will cooperate with the competent authorities;
  • create, generate, or distribute pornographic, sexually explicit, or other adult content, or use the Service to operate, support, or promote any adult-content service;
  • create or distribute content that is defamatory, obscene, harassing, hateful, threatening, or otherwise objectionable, or that promotes violence or illegal activity;
  • create or distribute phishing content, malware, harmful code, or deceptive impersonations;
  • send spam or unsolicited messages, or abuse connected systems;
  • reverse engineer, decompile, disassemble, or otherwise attempt to discover or derive the source code, model weights, prompts, architecture, or underlying structure of the Service, except where applicable law expressly does not allow such restriction;
  • scrape, crawl, harvest, index, mirror, or use any robot, spider, bot, script, headless browser, or other automated or manual means to access, monitor, copy, extract, or process any content, output, data, or any part of the John CEO systems, except through interfaces we expressly provide for that purpose;
  • sublicense, resell, rent, lease, or otherwise redistribute the Service or any part of it;
  • circumvent, disable, or interfere with any usage limit, rate limit, approval mechanism, access control, content filter, or other security feature;
  • use the Service for weapons development, unlawful surveillance, or in any high-risk context where failure could reasonably lead to death, personal injury, or severe physical, environmental, or property damage;
  • use the Service as, or as a component of, a high-risk AI system within the meaning of Regulation (EU) 2024/1689 (the "EU AI Act"), including to make decisions that produce legal or similarly significant effects on individuals (for example hiring, credit, insurance, or eligibility decisions) without meaningful human review. If you use the Service in a manner that makes you a deployer of a high-risk AI system, you are solely responsible for all resulting obligations.

We may investigate suspected violations and, in our sole discretion, suspend or terminate your access, restrict features, cooperate with authorities, and pursue legal remedies.

8. Fees, Capacity Credits, Taxes, and Billing

  • Subscriptions and top-ups. The Service is offered on a subscription basis at the fees and on the billing cycles presented to you at the time of purchase. Subscriptions include a monthly allowance of work credits ("Work Credits" or "credits"), which meter your use of the Service (including AI inference, connected tools, and dedicated workspace uptime). In addition, you may purchase one-time credit packs (top-ups). Catalog prices are shown in USD and are exclusive of VAT where applicable; any indicative amounts in other currencies are for convenience only.
  • Credit expiry. Unused subscription credits from a billing cycle roll over for one additional billing cycle and then expire. Credits from one-time packs remain valid for twelve months from purchase and are consumed after included subscription credits. Expired credits are recorded in your account history and are not restored.
  • Promotional credits. We may also grant promotional credits (including under our Referral Program Terms); promotional credits have no cash value, are non-refundable, are consumed after included subscription credits and before one-time packs, and expire and are governed as set out in the applicable program terms.
  • Payment processors. Card payments are processed by Stripe. You authorize JHELY and Stripe to charge your selected payment method for applicable fees, top-ups, and taxes. Tax identification and business details may be collected by Stripe at checkout and stored for billing and tax compliance.
  • Cryptocurrency payments. Cryptocurrency top-ups are not offered in the current version. If offered later, such transactions are irreversible, we do not control the underlying networks, and network fees and price volatility are your responsibility.
  • Taxes. Fees are exclusive of value added tax (VAT/IVA). Where applicable, tax is calculated and added by Stripe Tax. For business customers established in another EU member state who supply a valid VAT identification number, the reverse-charge mechanism may apply. Supplies to customers outside the EU are generally outside the scope of Spanish VAT. You are responsible for any other taxes arising from your use of the Service in your jurisdiction, except taxes on our net income.
  • Renewal and cancellation. Subscriptions renew automatically for the selected cycle unless cancelled before the end of the current period. You may cancel at any time, effective at the end of the current period, through the billing portal.
  • Out of capacity. When your credit balance is exhausted, new AI and tool tasks may be blocked until you renew, upgrade, or add credits. Dedicated workspace uptime may continue to accrue as a negative balance for a limited grace period, after which we may pause your workspace (delete the compute instance while retaining your private volume) until payment settles the balance.
  • Refunds. Except where required by mandatory law, fees and unused Work Credits (including subscription allowances and top-up packs) are non-refundable.
  • Changes. We may change our fees, plans, credit allowances, and included features. For changes that affect your current subscription, we will provide at least 30 days' advance notice.

9. Intellectual Property Rights

  • Ownership and license of the Service. The Service, including all related software, models, content, infrastructure, and brand, is owned by JHELY and/or its licensors and is provided to you under license. All right, title, and interest, including all intellectual property rights, in and to the Service are and remain with JHELY and/or its licensors. Nothing in these Terms transfers any ownership interest to you.
  • License to you. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for your internal business purposes. Any unauthorized use automatically terminates this license.
  • Your content. You retain ownership of the data, messages, and content you provide. You grant us a limited, worldwide, royalty-free license to host, process, and use that content solely to provide and support the Service, and, where you opt in, as described in Section 11.
  • AI output. Output generated by the agent is provided as work product for your use. You are responsible for reviewing it before use. Given the nature of generative AI, we make no representation that output is unique to you, and similar output may be generated for others. We provide no warranty or indemnity that output does not infringe the rights of any third party, and you are responsible for appropriate review and clearance before using output outside your organization.
  • Feedback. Any feedback or suggestions you provide may be used by us freely and without obligation to you, and you assign to us all rights in such feedback.

10. AI Content, System Limitations, and Assumption of Risk

  • AI may be imperfect. AI-generated content can be incorrect, misleading, incomplete, or inappropriate. The agent may misunderstand context, produce inaccurate output, or take unintended actions. You are responsible for reviewing and verifying output and actions before relying on them.
  • Your model choice. You select the AI model used. Different models carry different capabilities, costs, availability, and provider terms. Your selection, and its results, are your responsibility. Where you select a model or routing under which content is processed outside the European Economic Area, your selection constitutes your documented instruction to us to route the relevant data to that provider for processing.
  • AI transparency. Where required by law, including Article 50 of the EU AI Act, the Service informs persons interacting with the agent that they are interacting with an artificial intelligence system, and identifies AI-generated content as such. You agree not to remove, suppress, or instruct the agent to conceal such disclosures. As between you and JHELY, you are the deployer of the agent within your business and are responsible for any additional transparency, labeling, or disclosure obligations that apply to your use of the agent and its output toward your staff, clients, and other recipients.
  • No professional advice. Output is not legal, financial, tax, medical, or other professional advice. Consult qualified professionals where appropriate.
  • No guaranteed human review. Autonomous and pre-authorized tasks may execute without real-time human review.
  • Sophisticated system; assumption of risk. John CEO is a highly sophisticated and continuously evolving information technology system that combines automation, multiple third-party services, and artificial intelligence. Like any such system, it may contain bugs, errors, defects, vulnerabilities, or interruptions, and the artificial intelligence components may make mistakes, produce unexpected results, or take unintended actions. You acknowledge and accept these risks and agree that you use the Service at your own risk. To the maximum extent permitted by law, you agree not to hold JHELY responsible or liable for any loss or harm arising from such bugs, errors, defects, AI mistakes, or interruptions, including without limitation loss or corruption of data, loss of business or profits, reputational harm, or other adverse or impactful consequences. You are responsible for maintaining your own backups of important data and for supervising the actions and outputs of your agent.

11. Optional Use of Your Content to Improve the Service

By default, we do not use your conversations, prompts, or the agent's replies to train or improve our models or services beyond what is necessary to operate the Service for you.

If you expressly opt in (for example through a setting in your dashboard), you agree that we may use your conversations, prompts, and the agent's replies to develop, evaluate, and improve the Service, including by means of human review of those conversations by authorized personnel. You may withdraw this consent at any time, which stops future use of your content for this purpose but does not affect activities already carried out. We handle any such data in accordance with our Privacy Policy.

This opt-in does not apply to data received through the Slack API. We do not use Slack data to develop, improve, or train any generalized artificial-intelligence or machine-learning models, consistent with Slack's platform requirements.

12. Third-Party Services

The Service integrates with or relies on third-party services, including messaging platforms, the AI models and routing provider you use, connected business tools, infrastructure, and payment providers. We do not control and are not responsible for the content, accuracy, functionality, availability, security, or practices of any third-party service, including any AI provider you select. Your use of any third-party service is at your own risk and subject to that provider's terms. We may withdraw or disable access to any third-party integration at any time without notice.

13. Term and Termination

  • By you. You may stop using the Service at any time by cancelling your subscription, deleting your agent, and disconnecting integrations.
  • By us. We may suspend or terminate your access at any time, with or without notice, in our sole discretion, including if we believe you have violated these Terms, pose a security, legal, or business risk, or if we decide to discontinue the Service or any feature. If we terminate without cause, we will refund any unused prepaid top-up balance and the unused portion of any prepaid subscription period on a pro-rata basis, which is your sole remedy for such termination. To the maximum extent permitted by law, we are not liable for any suspension or termination carried out in good faith under these Terms.
  • Effect. On termination, your right to use the Service ceases and we may deactivate your agent and delete associated data. Provisions that by their nature should survive (including Sections 5, 9, 10, 14, 15, 16, and 17) survive termination.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, JHELY AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND RELIABILITY, AND DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY AI OUTPUT WILL BE ACCURATE OR ACHIEVE ANY RESULT. THE SERVICE DEPENDS ON THIRD-PARTY SYSTEMS, INCLUDING MESSAGING PLATFORMS, AI PROVIDERS, AND YOUR OWN DEVICES AND CONNECTIONS, WHICH MAY FAIL OR BECOME UNAVAILABLE WITHOUT NOTICE. YOU ASSUME ALL RISK FOR YOUR USE OF THE SERVICE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JHELY, ITS AFFILIATES, AND ITS SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY, OR MULTIPLE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, REPUTATIONAL HARM, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

WE ARE SPECIFICALLY NOT LIABLE FOR ACTIONS TAKEN BY THE AGENT ON CONNECTED PLATFORMS AFTER YOUR APPROVAL OR UNDER YOUR PRE-AUTHORIZATION SETTINGS, FOR DECISIONS MADE BASED ON AI OUTPUT, FOR YOUR CHOICE OF AI MODEL OR PROVIDER, OR FOR THE CONSEQUENCES OF APPROVED OR PRE-AUTHORIZED ACTIONS.

IN ALL CASES, OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) EUR 100. THIS CAP APPLIES IN AGGREGATE ACROSS ALL CLAIMS AND IS NOT INCREASED BY THE EXISTENCE OF MORE THAN ONE CLAIM OR CLAIMANT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISSATISFACTION WITH THE SERVICE IS TO STOP USING IT AND CANCEL YOUR SUBSCRIPTION. WHERE LIABILITY FOR LOSS OR CORRUPTION OF DATA CANNOT BE FULLY EXCLUDED, IT IS LIMITED TO THE REASONABLE COST OF RESTORING THE AFFECTED DATA FROM THE MOST RECENT BACKUP THAT YOU MAINTAINED OR OUGHT TO HAVE MAINTAINED UNDER SECTION 10.

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION 15 OPERATE FOR THE BENEFIT OF JHELY AND DO NOT LIMIT YOUR PAYMENT OBLIGATIONS UNDER SECTION 8 OR YOUR INDEMNIFICATION OBLIGATIONS UNDER SECTION 16.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for death or personal injury caused by negligence.

16. Indemnification

You agree to indemnify, defend, and hold harmless JHELY and its affiliates, officers, directors, employees, agents, service providers, and licensors from and against any and all claims, damages, liabilities, losses, costs, expenses, and reasonable lawyers' fees arising out of or relating to: your use or misuse of the Service; actions executed by the agent on your behalf after your approval or under your pre-authorization settings; your connection of tools and the data accessed through them; your choice of AI model or provider; your breach of these Terms or any applicable law; your violation of the rights of any third party; or your violation of any connected platform's terms. We may assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate.

17. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or relating to the Service or these Terms, are governed by and construed in accordance with the laws of Spain, without regard to conflict-of-law principles. You and JHELY submit to the exclusive jurisdiction of the courts of the city of Málaga, Spain. Either party may seek injunctive or equitable relief in any competent court to protect intellectual property, prevent unauthorized access, or address breaches of confidentiality.

Pre-claim procedure. Before initiating court proceedings (other than for injunctive or equitable relief), the complaining party will deliver written notice describing the dispute, and the parties will attempt in good faith to resolve it during the 30 days following that notice. No proceedings may be initiated before the end of that period.

Time limit for claims. To the extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be brought within 12 months after the party bringing the claim knew, or reasonably should have known, of the facts giving rise to it. Claims not brought within that period are permanently barred.

18. Changes to the Service and Terms

We may modify, update, or discontinue the Service or any part of it at any time, with or without notice. We may revise these Terms; for material changes we will give notice by reasonable means (for example email or in product). If you do not agree to a material change, you may cancel and stop using the Service before the change takes effect. Your continued use after the updated Terms take effect constitutes acceptance.

19. Assignment and Change of Operating Entity

You may not assign, delegate, or transfer your rights or obligations under these Terms without our prior written consent; any unauthorized assignment is void.

JHELY may be restructured, sold, merged, or may make other business decisions affecting how the Service is operated. You agree that JHELY may assign, transfer, or delegate these Terms and its rights and obligations under them, in whole or in part, including by transferring the rights and responsibilities owed to you to another entity that becomes the operating entity for John CEO. If we change the operating entity for John CEO, we will notify you at least 30 days in advance, and if you do not agree to the change, you may stop using and terminate the Service before the change takes effect.

20. Miscellaneous

  • Entire agreement. These Terms, the Privacy Policy, and any program or supplemental terms we incorporate by reference (including the Referral Program Terms, where you participate) are the entire agreement between you and JHELY regarding the Service and supersede all prior agreements.
  • No agency, no employment. The agent is a software service. No joint venture, partnership, employment, agency, fiduciary, or professional-services relationship is created between you and JHELY, or between you and the agent. Descriptions of the agent in our marketing or in the product as a colleague, coworker, hire, or similar are illustrative only and create no such relationship and no duty of care beyond these Terms. You have no authority to bind us.
  • Waiver. Failure to enforce a provision is not a waiver. Any waiver must be in writing.
  • Severability. If any provision of these Terms is held invalid, illegal, or unenforceable in any jurisdiction, in whole or in part, that provision will be modified and interpreted so as to best accomplish its objectives to the greatest extent permitted by applicable law or, where modification is not possible, will be severed. The invalidity, illegality, or unenforceability of any provision does not invalidate these Terms as a whole, and all remaining provisions continue in full force and effect.
  • Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including infrastructure, network, or third-party service failures.
